PLEASE READ CAREFULLY These Terms of Use govern your access to and use of the HireSoFla website, services, and all content provided by HireSoFla. By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1.  Introduction

Welcome to HireSoFla. These Terms of Use (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and HireSoFla (“HireSoFla,” “we,” “us,” or “our”), an independently operated healthcare recruitment company based in West Palm Beach, Florida. These Terms apply to your access to and use of hiresofla.com (the “Website”), our services, and all related content, features, and functionality (collectively, the “Services”).

By accessing the Website, submitting an application, or using our Services in any way, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply to specific Services. If you are accessing or using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2.  About HireSoFla

HireSoFla is a healthcare recruitment company serving Miami-Dade County, Broward County, and Palm Beach County in South Florida. We connect healthcare professionals  including Registered Nurses (RNs), Licensed Practical Nurses (LPNs), Certified Nursing Assistants (CNAs), Home Health Aides (HHAs), and other caregivers  with healthcare facilities seeking qualified staff.

HireSoFla does not employ candidates directly. Employment relationships, when established, exist between candidates and partner healthcare facilities or between candidates and HireSoFla as a staffing employer, depending on the specific placement arrangement. The nature of each employment relationship will be clarified during the placement process.

3.  Eligibility to Use Services

To use the HireSoFla Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Be legally authorized to work in the United States (for candidates seeking placement)
• Provide accurate, current, and complete information when requested
• Comply with all applicable federal, state, and local laws, including Florida healthcare licensing and credentialing requirements

If you are a healthcare professional applying through HireSoFla, you must possess the appropriate active credentials for the role you seek (such as an active Florida nursing license for RN or LPN positions). Submission of false credentials or misrepresentation of qualifications is grounds for immediate termination of your access to our Services and may result in legal action.

4.  Candidate Services

4.1 Application and Submission

When you submit a Quick Apply form or full application through our Website, you authorize HireSoFla to:

• Contact you by phone, text message, or email regarding employment opportunities
• Share your information with potential healthcare employer partners for placement consideration
• Verify your credentials, employment history, and references
• Conduct background checks and other screenings as required by Florida regulations and individual facility requirements
• Use your information consistent with our Privacy Policy

4.2 No Fees for Candidates

HireSoFla does not charge fees to healthcare candidates. Our Services are provided to candidates free of charge. Any person or entity claiming to charge fees on behalf of HireSoFla is not authorized to do so, and you should report such instances to us immediately.

4.3 Truthfulness of Information

You agree to provide truthful, accurate, and complete information at all times. Any misrepresentation  including but not limited to falsifying credentials, employment history, references, or background information  constitutes a material breach of these Terms and grounds for immediate termination of services. You acknowledge that healthcare staffing requires strict adherence to credentialing standards, and that providing false information may have serious legal consequences.

4.4 No Guarantee of Placement

HireSoFla makes no guarantee of employment, placement, or specific opportunities. Placement depends on many factors including your qualifications, credential status, market demand, employer needs, and successful credentialing verification. We will use commercially reasonable efforts to match qualified candidates with appropriate opportunities, but we do not warrant or guarantee any specific outcome.

5.  Employer Services

5.1 Partner Inquiry and Engagement

Healthcare facilities and organizations seeking staffing services may submit a Partner Inquiry through our Website. By submitting such an inquiry, you authorize HireSoFla to contact you, discuss your staffing needs, and propose candidates for your consideration.

5.2 Service Agreements

Specific terms of staffing services, including pricing, replacement guarantees, billing, and contract terms, will be established in a separate written agreement between HireSoFla and each employer client. These Terms of Use do not constitute a staffing services agreement. No staffing services will be provided until a separate written agreement is executed.

5.3 Employer Obligations

Employers using HireSoFla services agree to:

• Comply with all applicable employment laws, including federal and Florida wage-and-hour laws, anti-discrimination laws, and healthcare-specific regulations
• Provide a safe and lawful working environment for placed candidates
• Pay invoiced fees in accordance with the terms of the executed staffing agreement
• Not make hiring decisions based on protected characteristics in violation of equal employment opportunity laws

6.  Communications and Consent

6.1 SMS and Phone Communications

By providing your phone number, you consent to receive calls and text messages from HireSoFla and our recruiters regarding your application, available positions, scheduling, credentialing, and placement-related matters. Standard message and data rates may apply. You can opt out of text messages at any time by replying STOP to any message. Opting out of text messages will not affect our ability to communicate with you about active placements by phone or email.

6.2 Email Communications

By providing your email address, you consent to receive emails from HireSoFla regarding your application, opportunities, account information, and other Service-related matters. You may unsubscribe from marketing emails at any time using the unsubscribe link in any email. Even after unsubscribing, you may still receive transactional emails directly related to your application or active placements.

6.3 TCPA Compliance

HireSoFla complies with the Telephone Consumer Protection Act (TCPA). Your consent to receive communications is not a condition of using our Services, and you can withdraw consent at any time by contacting us. However, withdrawing consent for phone or text communications may limit our ability to provide certain Services that depend on timely communication.

7.  Use Restrictions

You agree NOT to:

• Use the Website or Services for any unlawful purpose
• Provide false, misleading, or fraudulent information
• Use the Services to harass, threaten, defame, or harm any other person
• Attempt to gain unauthorized access to any part of the Website or our systems
• Use bots, scrapers, or automated tools to collect information from the Website without our prior written consent

All content on the Website  including text, graphics, logos, images, photographs, video, audio, software, and the compilation and arrangement thereof  is the property of HireSoFla or its licensors and is protected by United States and international intellectual property laws.

HireSoFla grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Services for their intended purpose. You may not copy, modify, reproduce, distribute, publicly display, publicly perform, republish, download, store, or transmit any of the Website’s content without our prior written consent, except as follows:

• You may view and print materials for personal, non-commercial use
• You may share links to Website content on social media or other platforms, provided the content is not modified

All HireSoFla trademarks, service marks, logos, trade names, and slogans  including the HireSoFla name and logo  are the exclusive property of HireSoFla. You may not use these marks without our prior written permission.

HIRESOFLA DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Accuracy

While we strive to provide accurate information, HireSoFla does not warrant that the Website, Services, or any information contained therein will be uninterrupted, error-free, secure, accurate, complete, or current. Pay ranges, position details, and market information provided on the Website are estimates based on available data and may not reflect actual offers or specific employer terms.

10.3 No Professional Advice

The information provided on the Website and through our Services  including blog posts, guides, and informational content  is for general informational purposes only and is not legal, medical, financial, or professional advice. You should consult qualified professionals before making any decisions based on this information.

11.  Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HIRESOFLA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES  INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSSES  ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR SERVICES.

IN NO EVENT SHALL HIRESOFLA’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO HIRESOFLA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

12.  Indemnification

You agree to indemnify, defend, and hold harmless HireSoFla, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law or regulation

• Any conduct during a placement, including any acts or omissions while employed at a partner facility

13.  Termination

HireSoFla reserves the right to terminate or suspend your access to the Website or Services at any time, with or without notice, for any reason, including without limitation if we believe you have violated these Terms or any applicable law. Upon termination, your right to use the Services will cease immediately.

You may discontinue using the Services at any time. You may request deletion of your account by contacting us at info@hiresofla.com. Certain information may be retained as required by law or for legitimate business purposes, in accordance with our Privacy Policy.

14.  Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and your use of the Website and Services are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the jurisdiction of such courts.

14.2 Informal Resolution

Before filing any legal action, you agree to attempt to resolve any dispute informally by contacting HireSoFla at info@hiresofla.com. We will work in good faith to resolve any dispute within thirty (30) days.

14.3 Class Action Waiver

To the fullest extent permitted by law, you and HireSoFla agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action against HireSoFla.

15.  Changes to These Terms

HireSoFla reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Website with a new effective date, and where appropriate, by other means such as email. Your continued use of the Website or Services after the updated Terms become effective constitutes your acceptance of the changes. We encourage you to review these Terms periodically.

16.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
